1. Acceptance of Terms

By accessing or using the Tapboard platform ("Service"), operated by 131 Studios LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including merchants, administrators, and any other individuals who access or use the platform.

We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or by sending you a notification through the Service. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

2. Description of Service

Tapboard is a digital menu board platform that enables businesses to create, manage, and display menu content on screens such as Amazon Fire TV devices. The Service includes:

A web-based dashboard for managing menu boards, layouts, and content
Integration with point-of-sale systems (such as Square) for catalog synchronization
A display application for rendering menu boards on supported devices
Tools for creating and scheduling advertisements and promotional content

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration

To use the Service, you must create an account. When registering, you agree to:

Provide accurate, current, and complete information
Maintain and update your account information to keep it accurate
Maintain the security and confidentiality of your login credentials
Accept responsibility for all activity that occurs under your account
Notify us immediately of any unauthorized use of your account

You must be at least 18 years old or the age of legal majority in your jurisdiction to create an account. By creating an account, you represent that you meet this requirement.

We reserve the right to suspend or terminate any account that we reasonably believe violates these Terms or is being used for unauthorized purposes.

4. Subscription and Payment

Tapboard offers both free and paid subscription plans. By subscribing to a paid plan, you agree to the following:

Billing. You will be billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
Payment method. You must provide a valid payment method. You authorize us to charge your payment method for all fees associated with your subscription.
Price changes. We may change our subscription prices at any time. Price changes will take effect at the start of your next billing period. We will provide you with reasonable advance notice of any price changes.
Refunds. Payments are non-refundable except where required by applicable law. If you cancel your subscription, you will retain access to paid features until the end of your current billing period.
Free trials. If you sign up for a free trial, you will not be charged until the trial period ends. If you do not cancel before the trial expires, your subscription will automatically convert to a paid plan.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service in any way that violates any applicable federal, state, local, or international law or regulation
Upload, display, or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
Attempt to gain unauthorized access to any part of the Service, other accounts, or any systems or networks connected to the Service
Use the Service to transmit any malware, viruses, or other harmful code
Interfere with or disrupt the integrity or performance of the Service
Reverse engineer, decompile, or disassemble any aspect of the Service
Use any automated means (bots, scrapers, etc.) to access or interact with the Service without our prior written consent
Resell, sublicense, or redistribute the Service or any part of it without our express written permission

6. Content and Intellectual Property

Your content. You retain ownership of all content you upload, create, or display through the Service, including menu items, images, advertisements, and branding materials ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing the Service to you.

Our content. The Service, including its design, features, code, documentation, templates, and branding, is owned by 131 Studios LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

Feedback. If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable license to use that feedback for any purpose without compensation to you.

7. Third-Party Integrations

The Service may integrate with third-party services, including point-of-sale systems (such as Square), payment processors, and other platforms. Your use of these integrations is subject to the terms and policies of the respective third-party providers.

We are not responsible for the availability, accuracy, or reliability of third-party services. We do not endorse and are not liable for any loss or damage arising from your use of third-party integrations.

When you connect a third-party account to Tapboard, you authorize us to access and synchronize data from that account as necessary to provide the Service. You may revoke this authorization at any time by disconnecting the integration from your Tapboard dashboard.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in our Privacy Policy.

You are responsible for ensuring that any data you upload or manage through the Service complies with applicable data protection and privacy laws, including any regulations specific to your industry or jurisdiction.

9. Service Availability and Warranties

The Service is provided on an "as is" and "as available" basis. We make no warranties or representations, express or implied, regarding the Service, including but not limited to:

The Service will be uninterrupted, timely, secure, or error-free
The results obtained from the Service will be accurate or reliable
Any defects in the Service will be corrected

To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, 131 Studios LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service.

In no event shall our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless 131 Studios LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Service
Your violation of these Terms
Your violation of any applicable law or the rights of any third party
Any content you upload, display, or transmit through the Service

12. Termination

You may cancel your account at any time from your Tapboard dashboard. Upon cancellation, your access to paid features will continue until the end of your current billing period.

We may suspend or terminate your account at any time, with or without cause and with or without notice, if we believe you have violated these Terms or if we determine that your use of the Service poses a risk to us, other users, or third parties.

Upon termination, your right to use the Service will immediately cease. We may, at our discretion, delete your account data within a reasonable period after termination. Any provisions of these Terms that by their nature should survive termination will continue to apply.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in North Carolina. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

14. General Provisions

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and 131 Studios LLC regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
